We’re glad you’re here. These Terms of Service explain how our freight brokerage services work and what we both agree to when we work together. We’ve written this in plain language so you can actually understand what you’re agreeing to.
1. THE BASICS
What We Do
J20 Solutions Corp is a licensed freight brokerage company registered in New Jersey. We connect your business with reliable truck carriers to move your freight across the United States. Think of us as the matchmaker between your cargo and the trucks that will transport it safely to its destination.
What These Terms Cover
When you use our services, you’re agreeing to these terms. We’ve also got some policies and pricing information that work alongside these terms. If there’s ever a conflict between this document and our other policies, this Terms of Service document wins.
Your Agreement
By creating an account or using our services, you’re confirming that:
- You’ve read and understood these terms
- You have the legal authority to agree to them on behalf of your business
- You’re legally allowed to use freight brokerage services in your area
If you don’t agree with these terms, please don’t use our services.
2. GETTING STARTED
Creating Your Account
To use our services, you’ll need to create an account with us. We’ll ask you for:
- Your full name and your company’s legal name
- Your business address and contact information
- Your tax ID number
- Information about who owns your company (if more than 10% is owned by any one person or entity)
We might ask for additional information from time to time to keep your account up to date. If you don’t provide this information within 30 days, we might need to pause your services until we get what we need.
Changes to These Terms
Sometimes we need to update these terms. When we do, we’ll let you know. If you continue using our services after we make changes, that means you’re okay with the new terms. If you’re not okay with the changes, you can end our agreement by following the termination process described later.
3. USING OUR PLATFORM
Your Access
We give you permission to use our platform and software to coordinate your freight shipments. You can use it during the time we’re working together, but you can’t:
- Copy, modify, or reverse-engineer our software
- Share your access with unauthorized people
- Try to hack or break into our systems
- Use our platform for anything illegal
Your Information
Everything you upload to our platform—like shipment details, weight information, and destination addresses—is yours. But you’re also responsible for making sure it’s accurate. If something goes wrong because you gave us incorrect information, that’s on you, not us.
We need permission to use your information to do our job (coordinating your shipments, generating reports, improving our services, and communicating with you). You’re giving us that permission by using our services.
Keeping Your Account Secure
Your login and password are like the keys to your business—keep them safe! You’re responsible for everything that happens under your account. For support purposes, our team can access your account, but we only do this when necessary and we keep track of every time it happens.
4. YOUR RESPONSIBILITIES
Legal Stuff
You promise us that:
- You own the freight you’re shipping (or have permission to ship it)
- Your freight isn’t illegal, dangerous without proper documentation, or prohibited
- You’re following all import/export laws and trade regulations
- You’re not on any government sanctions lists
- Your freight isn’t going to anyone on sanctions lists
- Your business complies with all applicable laws
Freight Information
You need to tell us everything important about your freight:
- Accurate weight and dimensions
- If it’s hazardous material (we have special procedures for this)
- Any special handling requirements
- Proper documentation for international shipments
If your freight doesn’t meet our requirements or violates our policies, we might refuse it, quarantine it, or charge you fees to deal with it. If your freight causes damage to our facilities or other customers’ goods, you’ll be responsible for those costs.
Fraudulent Orders
Unfortunately, fraud happens. You’re responsible for protecting yourself from fraudulent orders and paying for all services related to those orders, even if the freight wasn’t delivered.
5. MONEY MATTERS
Our Fees
You’ll pay the fees listed in our pricing schedule. These fees cover things like coordinating your shipments, working with carriers, and using our platform.
When Fees Can Change
Freight is a dynamic industry, and costs can change. Here’s when our fees might adjust:
- When fuel prices change dramatically
- During peak shipping seasons (like the holidays)
- When carriers add surcharges
- When we update our regular pricing (we’ll give you 30 days notice for this)
If you don’t like a fee change, you can end our agreement. Otherwise, continuing to use our services means you accept the new fees.
Payment Terms
We use Stripe to process payments. You can pay by:
- Bank transfer or ACH (free)
- Credit or debit card (small processing fee applies)
- Wire transfer (your bank’s fees apply)
We typically bill daily, weekly, or monthly depending on what we set up with you. If you don’t pay on time, we might charge a late fee of 2% per month (or whatever your state allows, whichever is less). We might also remove any discounts we’ve given you.
Disputes
If you think we charged you incorrectly, you need to tell us within 30 days of the invoice date. After that, we’ll consider the charges accepted.
Taxes and Duties
You’re responsible for all taxes, duties, customs fees, and similar charges on your shipments. If these costs come back to us, we’ll bill them to you.
6. HOW SHIPPING WORKS
Before Shipping
Before your freight arrives, you need to provide us with:
- Advance notice through our platform
- Proper labels identifying what’s in each box or pallet
- A scheduled appointment (for freight shipments, not small parcels)
If you don’t follow these procedures, your freight might be delayed and you might be charged additional fees.
Inspections
When your freight arrives, we might verify quantities and check for damage, but we’re not required to do a full inspection unless you pay for one. If we document damage when your freight arrives, we’re not responsible for it—that’s between you and whoever shipped it to us.
Choosing Carriers
You’ll select your preferred shipping speed through our platform (like overnight, two-day, or standard ground). We’ll find the most cost-effective carrier that meets your requirements. If your preferred carrier isn’t available, we’ll find a good alternative.
Returns
If shipments get returned to us, you’re responsible for the return shipping costs. This is especially important for international shipments, which can rack up substantial return fees.
7. CARRIER RELATIONSHIPS
What We Do (And Don’t Do)
Here’s something important: We are freight brokers, not carriers. This means:
- We arrange transportation with licensed trucking companies
- We don’t own or operate the trucks
- When carriers have your freight, they’re responsible for it
- We can’t control traffic, weather, or carrier operations
We’re registered with the US Department of Transportation (USDOT# 3883843 and MC 1425765) as a property broker.
Carrier Standards
We work with carriers who:
- Have proper licenses and insurance
- Don’t have “unsatisfactory” safety ratings
- Carry at least $100,000 in cargo insurance
Delivery Addresses
You’re responsible for providing accurate delivery addresses. If a delivery fails because the address was wrong, incomplete, or undeliverable, you’ll pay for redelivery or return shipping.
8. IF SOMETHING GOES WRONG
Lost or Damaged Freight
If your freight is lost or damaged while carriers are transporting it, we’ll help you file a claim, but there are limits:
- For standard shipments: Maximum $100 per package
- For economy shipments: Maximum $25 per package
- For freight in our care: Maximum of $1 per pound or the actual product value (whichever is less)
You need to report lost or damaged freight within 90 days, or you lose the right to make a claim.
What We’re Not Responsible For
We’re not liable for:
- Delays caused by carriers, weather, or events beyond our control
- Problems caused by incorrect information you provided
- Indirect damages like lost profits or lost business
- Issues that happen after freight is delivered
Maximum Liability
The most we’ll ever owe you is the lesser of:
- $10,000, or
- 100% of what you paid us in the previous 3 months
We know this might seem limiting, but these limits are standard in the freight industry and allow us to offer competitive pricing.
9. CONFIDENTIALITY
Your Information
We keep your business information confidential. We won’t share it with others except:
- When necessary to provide our services
- When required by law
- For our internal business operations (like billing and analytics)
- If you give us permission
Using Your Name
We may use your company name as a reference in our marketing materials (like on our website saying “Companies we work with”). If you don’t want this, just email us at [support email] and we’ll remove it.
10. IF THINGS DON’T WORK OUT
Ending Our Relationship
You can end this agreement anytime by emailing us at [support email], as long as you don’t owe us money. We can end it with 30 days notice.
What Happens After Termination
When our agreement ends:
- You need to pay any outstanding fees
- You should remove any remaining freight from our facilities within 30 days
- If you don’t remove your freight in time, we may dispose of it (and charge you for disposal)
- We may delete your account information
11. IMPORTANT LEGAL STUFF
Disputes and Legal Issues
If we have a legal dispute:
- Illinois law governs this agreement
- Any lawsuits must be filed in Chicago, Illinois courts
- You agree to those courts having jurisdiction
No Partnership
We’re independent businesses working together. This agreement doesn’t create a partnership, joint venture, or employment relationship between us.
Force Majeure (Uncontrollable Events)
Neither of us is responsible for failures caused by things beyond our control like:
- Natural disasters (floods, earthquakes, hurricanes)
- Pandemics or epidemics
- Wars, terrorism, or civil unrest
- Labor strikes
- Government actions or regulations
- Power outages or infrastructure failures
Changes and Waivers
This agreement can only be changed if we both agree in writing. If we don’t enforce something one time, that doesn’t mean we’ve given up the right to enforce it later.
Entire Agreement
This document (along with our policies) represents our complete agreement. It replaces any previous agreements, promises, or understandings we might have had.

By using our services, you acknowledge that you’ve read, understood, and agree to these Terms of Service.
APPENDIX: KEY DEFINITIONS
Carrier – The trucking company that physically transports your freight
Freight Broker – That’s us! We connect you with carriers but don’t own the trucks
Hazardous Materials – Dangerous goods that require special handling and documentation
LTL (Less Than Truckload) – Shipping that shares truck space with other customers’ freight
FTL (Full Truckload) – When your freight fills an entire truck
Peak Season – Busy shipping periods (like holidays) when costs and delivery times may increase
BOL (Bill of Lading) – The official shipping document for your freight
POD (Proof of Delivery) – Documentation confirming your freight was delivered
Third-Party Logistics (3PL) – Companies that handle logistics services for other businesses
Force Majeure – Uncontrollable events like natural disasters that prevent us from performing our duties
